Terms of Use

1. The service

Khata Zone is a cloud-based GST billing, accounting and inventory platform for businesses. We may add, change or remove features from time to time to improve the service.

The KhataZone Android app is published on Google Play by Sars Infotech Private Limited for Khata Zone. It opens this same service, and these Terms apply to it.

2. Eligibility & account

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
• You are responsible for all activity that occurs under your account.

3. Subscriptions & billing

• The service is offered on a free trial and paid subscription basis. Plan features, limits and prices are shown at the time of purchase.
• Paid subscriptions are billed in advance for the chosen period and are non-transferable.
• We may revise pricing; changes apply to renewals after prior notice.
• Partner referral discount. If you sign up with the code of an approved referral partner (section 8), you get a discount on yearly plans for a period starting from your first paid plan — currently 10% off the plan's list price before GST, for 12 months. GST is charged on the discounted price. It applies to yearly plans only: not to monthly plans, not to the Launch Offer (3 years) and not to any other plan period. It is not combined with a coupon: where both apply, you get whichever saves you more. It does not apply to plans a full-time partner (reseller) activates for you. We may change or end the discount, including for businesses already inside their discount period; a payment already made keeps the discount it got.
• Refunds, where applicable, are governed by our Refund Policy.

4. Acceptable use

You agree not to:

• Use the service for any unlawful, fraudulent or infringing purpose.
• Attempt to gain unauthorised access to the platform, other accounts or our systems.
• Interfere with or disrupt the integrity or performance of the service.
• Reverse engineer, resell or misuse the service except as permitted by these Terms.

5. Your data & content

You retain ownership of the data and content you enter. You grant us a limited licence to host, process and display that data solely to provide the service. You are responsible for the accuracy and legality of your data, including compliance with applicable tax and accounting laws. See our Privacy Policy for how we handle your information.

6. Intellectual property

The platform, its software, design, branding and content (excluding your data) are owned by Awani Enterprises and protected by applicable intellectual-property laws. These Terms do not grant you any rights to our trademarks or other intellectual property.

7. Partners and the partner directory

We list approved partners — chartered accountants, consultants and resellers — in a public directory at khatazone.com/experts. The following applies both to visitors who find a partner there and to partners who hold a listing.

• Partners are independent. Every partner is a separate, independent business. They are not our employees, agents, representatives or franchisees, and they have no authority to make commitments on our behalf. Nothing on a partner page creates a partnership, joint venture or agency between us.
• We do not supply their services. Any engagement you enter into with a partner — for filing, bookkeeping, setup, training or anything else — is a contract between you and that partner. We are not a party to it, we do not set their fees, and we are not responsible for the quality, timeliness or legality of what they deliver. Fees you pay a partner are separate from any KhataZone subscription.
• What our verification means, and what it does not. Before listing a partner we check their identity and business documents and review the copy on their page. That is a check on who they are, not an endorsement, certification or guarantee of their professional competence, advice or conduct.
• Partners are responsible for their own page. If you hold a listing, you warrant that everything on your page is accurate, is yours to publish, and complies with the law and with the advertising rules of any professional body you belong to — including, for chartered accountants, the ICAI. You must not describe yourself in a way that misrepresents your qualifications or your relationship with us. You grant us a licence to display and promote your page content for as long as it is listed.
• We can remove a listing. We may decline, edit or remove any partner page at any time, with or without notice, including where content is inaccurate, misleading, unlawful or brings the platform into disrepute. A listing is a privilege of the partner programme, not an entitlement of it, and removing one does not affect the partner's wallet balance or commission, or their clients' subscriptions.
• Complaints. If a partner page is inaccurate, or you have a complaint about a partner's conduct in connection with KhataZone, write to support@khatazone.com and we will look into it. We can act on the listing; disputes over services a partner has agreed to provide you remain between you and them.

8. Referral partner commission

This section applies to approved partners on our Refer programme (“referral partners”). It does not apply to full-time partners (resellers), who invest through a prepaid wallet and buy and resell plans under their own terms.

• What you earn. A commission at the rate shown on our Partners page and in your partner portal on every paid payment for a KhataZone plan — monthly, yearly, the Launch Offer and renewals — from a business credited to your referral code, for as long as it stays credited to you. It is calculated on the plan's list price before GST and before any discount or coupon, and never on GST. On an upgrade it is calculated on the new plan's price less the credit for the unused time on the old plan, which has already earned you commission. Nothing is earned on free plans, on a payment of nothing (for example one fully covered by credit), or on payments made while your partnership is suspended.
• Your businesses' discount. A business that signs up with your code gets the partner referral discount in section 3 on its yearly plans. It does not reduce your commission, which is calculated on the price before that discount.
• Pending period. Each commission stays pending for the period shown in your portal (at least 7 days, covering our refund window) and then becomes available to withdraw.
• Refunds. If a payment is refunded, in full or in part, its whole commission is cancelled. If that commission was already paid out to you, the amount is recovered from your future commission.
• Withdrawals. You can withdraw your available balance once it reaches the minimum shown in your portal (before TDS). We pay by bank transfer to the bank account in your verified KYC and tell you the bank reference. Tax is deducted at source (TDS) as the Income-tax Act requires.
• KYC. Full KYC is required: your PAN, Aadhaar, address, bank account details, a cancelled cheque and a photograph, verified by us before any payout. Changing your details sends them back for review, and withdrawals pause until we verify them again.
• Fair play. You may not earn commission on your own business or one you control, and you must not misrepresent KhataZone, its prices or your relationship with us to anyone you refer. We may hold a commission while we review it, even one already paid out to you (its amount is then set against your future commission until we clear it), and we may cancel commission, withhold your balance or end your partnership where we find self-referral, fraud, misrepresentation or a breach of these Terms.
• Changes. We may change the commission rate, pending period or minimum withdrawal with notice to you. A new rate applies only to payments received after it takes effect; commission already earned keeps the rate it was earned at. A new pending period applies to commission earned after it takes effect. A new minimum withdrawal applies to every withdrawal requested after it takes effect, including from a balance earned before it.

9. Availability & disclaimer

We strive to keep the service available and reliable but do not guarantee uninterrupted or error-free operation. The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Khata Zone is a tool to assist your record-keeping and does not constitute professional tax, legal or accounting advice.

10. Limitation of liability

To the maximum extent permitted by law, Khata Zone and Awani Enterprises shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of data, profits or business, arising from your use of or inability to use the service. Our total liability for any claim shall not exceed the amount you paid to us for the service in the twelve (12) months preceding the claim.

11. Termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms or use the service in a way that may cause harm. On termination, your right to use the service ceases; you may export your data before closure as described in the application.

12. Governing law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last updated” date. Continued use of the service after changes constitutes acceptance of the updated Terms.
